Bisakah Mendirikan PT untuk Berbagai Jenis Usaha Sekaligus?
Bila melihat sekilas ke akta pendirian suatu perusahaan, maka Anda mungkin akan melihat bahwa sebenarnya satu Perseroan Terbatas (PT) akan mampu mengakomodir berbagai jenis usaha sekaligus. Jadi, apakah benar dengan mendirikan PT, maka Anda bisa membuat berbagai jenis usaha sekaligus di bawahnya?
Ternyata, tidak seperti itu. Ketika Anda membuat PT, maka pada akhirnya hanya akan berujung ke satu jenis usaha saja. Anda tidak bisa membuat PT untuk perdagangan, sekaligus jasa konstruksi dalam satu PT. Mungkin nantinya, ada semacam sub-perusahaan atau cabang dan sebagainya, bisa saja. Tapi ketika pendirian di awal, Anda sudah sangat tidak mungkin melakukan berbagai jenis usaha sekaligus.

Kenapa seperti itu? Jawabannya adalah karena aturan tentang pendirian PT itu sendiri. Untuk PT, mulai dari pembuatan sampai pengaturan bidang usaha, Anda bisa melihat ke UU no. 40 tahun 2007 tentang Perseroan Terbatas. Selain itu, juga termaktub dalam KUHD atau Kitab Undang Undang Hukum Dagang.
Dari isi aturan tersebut, kita bisa melihat kenapa Anda tidak bisa membuat atau mendirikan PT sekaligus untuk berbagai jenis usaha. Meskipun ada banyak bidang usaha di dokumen tersebut yang tercantumkan, itu bukan berarti Anda bisa menjalankan berbagai jenis usaha sekaligus dalam satu dokumen.
Pertama, selain akta pendirian, Anda membutuhkan berbagai hal untuk dilengkapi. Beberapa di antaranya seperti Surat Keterangan Domisili Perusahaan (SKDP), Nomor Pokok Wajib Pajak (NPWP), Surat Izin Usaha Perdagangan (SIUP), Tanda Daftar Perusahan (TDP) dan syarat izin khusus untuk jenis usaha tertentu.
Anggaplah untuk urusan pembuatan SKDP dan NPWP, Anda bisa tetap mencantumkan berbagai jenis usaha tersebut di bawah satu PT. Sebagai tambahan, SIUP juga biasa didapatkan langsung dengan pendirian PT. Ada banyak penyedia jasa pendirian PT yang menyediakan paket pendirian PT dengan SIUP langsung termasuk di dalamnya. Di dalam SIUP juga dicantumkan bidang usaha yang dipilih oleh pihak yang mendirikan perusahaan. Dan, biasanya masih cukup lebar jangkauannya.
Masalah akan ditemukan ketika membuat atau mengurus dokumen yang terakhir di antara rangkaian dokumen pasca pendirian PT tersebut. Yah, itu adalah TDP. Ketika mengurus TDP inilah, Anda hanya bisa mendaftarkan satu jenis usaha saja, itupun harus sudah tercatat di dalam SIUP. Maka ini yang menjadi bisnis utama Anda. Di TDP inilah, Anda tidak bisa mencantumkan lebih dari satu bidang usaha sekaligus.
Nanti, bila pendirian PT telah berhasil dilakukan, dan Anda ingin mengembangkan sayap perusahaan Anda, maka yang bisa Anda buat berikutnya adalah mengurus TDP baru. Itu dilakukan apabila bisnis yang Anda buat tidak sesuai dengan bisnis utama yang sudah tercatat dalam TDP sebelumnya. Itupun masih harus sesuai dengan bidang usaha yang tercatat di dalam SIUP.
Jadinya, kesimpulan dari pemaparan di atas ialah, Anda pertimbangkan baik-baik bidang usaha yang akan Anda pilih, sebelum mendirikan perusahaan. Selain itu, sebaiknya sejak awal sebelum pendirian PT, hindari langsung berpikir untuk menjalankan berbagai jenis bidang usaha sekaligus.
